Abeo takes control of a specialist in inflatable reception areas – 06/15/2022 at 18:11


(AOF) – Abeo has announced the signing of an acquisition protocol, without conditions precedent, with a view to acquiring 70% of the capital of the Dutch company BigAirBag, specializing in the field of inflatable reception areas. The agreement was concluded with Tomas Huting, sole shareholder of BigAirBag. The memorandum of understanding includes a price supplement indexed to the performance of the first post-integration financial year and an agreement of cross-purchase and sale commitments relating to the remaining 30% of the capital.

This acquisition will be financed with equity by way of payment in cash for 64% and by payment in Abeo shares for 36%, to be allocated to the seller within the framework of a reserved capital increase.

In 2021, the company achieved a profitable turnover of around 3 million euros.

Tomas Huting will join the Abeo teams in the coming weeks and will be in charge of developing the Big Air Bag brand and deploying commercial synergies.

The final completion of the transaction is not subject to conditions precedent and should be completed in the coming weeks.
