DEFINITIVE REDUCTION OF SHARE CAPITAL NOT REASONS FOR LOSSES IN THE AMOUNT OF €3,220,464.69 BY WAY OF REDUCING THE PAR VALUE OF THE COMPANY’S SHARES
END OF THE SUSPENSION OF THE ABILITY TO EXERCISE OR CONVERSE SECURITIES GIVING ACCESS TO CAPITAL
The Company had announced, in its press release of October 20, that the Board of Directors, making use of the authorization of the Company’s combined general meeting of shareholders of June 30, 2022 under the terms of its nineteenth resolution, had decided to carry out a capital reduction not motivated by losses by reducing the nominal value of the shares by a maximum nominal amount of 3,487,666.47 euros, reducing it from 0.02 euro at 0.005 euro (hereinafter the “Capital Reduction”).
The Company informs its shareholders of the final completion of the reduction of its share capital in the amount of 3,220,464.69 euros, no opposition from third parties having been formulated during the opposition period of creditors provided for in Article R.225-152 of the Commercial Code. This capital reduction is carried out by reducing the nominal value of each share from 0.02 euro to 0.005 euro, i.e. a reduction of 0.015 euro per share for the purposes of taking into account the evolution of the stock market price and maintaining the possibility of carrying out any financial transaction that may prove appropriate in the future.
This Capital Reduction is a purely technical operation, its amount, i.e. 3,220,464.69 euros, will be allocated to a “Premiums” account, it being specified that it will not be distributable but may subsequently be incorporated into the capital or used to amortize losses. social and the amount of shareholders’ equity not having been impacted.
Following this transaction, the Company’s share capital amounts to €1,073,488.23, divided into 214,697,646 ordinary shares with a nominal value of €0.005 each.
The Company recalls that the rights of holders of securities giving access to capital have been suspended until November 15, 2022 (inclusive) and that as of this day, said holders regain their right to exercise or convert.
