• Size of the Offer: Capital increase of approximately €5.20 million (corresponding to 17.0% of the capital and 10.6% of the voting rights in the event of a 100% Offer) which may be increased to approximately €5.72 million in the event of full exercise of the extension clause (corresponding to 18.4% of the capital and 11.5% of the voting rights), and to a maximum of approximately €6.29 million in full exercise of the over-allotment option (corresponding to 19.9% of the capital and 12.5% of the voting rights).
• Open price offer: proposed price range between €4.80 and €5.20 per new share.
• Subscription commitments: €200,000 (two hundred thousand) euros from MARVIK HOLDING SAS, holding company of Laurent ROEGEL.
• OPO subscription period: from June 14, 2023 to June 26, 2023 at 5 p.m. (Paris time) for subscriptions at counters and at 8 p.m. (Paris time) for Internet.
• Subscription period for the Global Placement: from June 14, 2023 to June 27, 2023 at 12 noon (Paris time).
• Start of share trading on the EURONEXT Growth® market in Paris scheduled for June 30, 2023.
