(Boursier.com) — ALD announces changes to its Board of Directors following the resolutions approved at the General Meeting of May 24, 2023:
– Appointment of Pierre Palmieri as Director, replacing Didier Hauguel who announced his intention to resign from his office as of this Meeting,
-Renewal of the mandates of Patricia Lacoste, Diony Lebot, Tim Albertsen and Frédéric Oudéa.
During the Board meeting held after the General Meeting:
-Pierre Palmieri was elected as Chairman of the Board of Directors replacing Diony Lebot following recent changes in the governance of the Societe Generale group.
-Didier Hauguel was given a 2-year mandate as Censor (in accordance with the provisions of article 14 of the bylaws), with the mission of monitoring the progress of the integration of LeasePlan, the transition of the Company towards its status as a regulated entity and the overall effectiveness of the Company’s new governance.
-New internal regulations for the Board of Directors have been adopted, including a new organization with 5 specialized committees (Audit, Risks, Remuneration, Appointments, Strategy). The chairs of these committees are specified below.
Following these changes, as well as those announced on May 22, 2023 with the completion of the acquisition of LeasePlan, the composition of ALD’s Board of Directors is as follows:
-Pierre Palmieri, Chairman of the Board of Directors and Chairman of the Strategy Committee (COSTRAT)
-Tim Albertsen, Director and Chief Executive Officer
-Diony Lebot, Administrator
-Delphine Garcin-Meunier, Administrator
-Frédéric Oudéa, Administrator
-Benoit Grisoni, Administrator
-Xavier Durand, Independent Director and Chairman of the Risk Committee (CORISK)
-Patricia Lacoste, Independent Director and Chairman of the Remuneration Committee (COREM)
-Anik Chaumartin, Independent Director and Chair of the Audit Committee (CACI)
-Christophe Perillat, Independent Director and Chairman of the Appointments Committee (CONOM)
-Hacina Py, Administrator
-Mark Stephens, Administrator
Pierre Palmieri, Deputy Chief Executive Officer of Societe Generale and Chairman of the Board of Directors of ALD, commented:
