Alpes (company): Completed the acquisition of 86.5% of Urban

(CercleFinance.com) – Compagnie des Alpes has finalized the acquisition of 83.0% of the capital of the company Soccer 5 France, parent company of the Urban Group, number 1 in 5-a-side football and co-leader of padel in France.

The Group has also secured the acquisition of an additional 3.5% of the capital of the company Soccer
5 France held by the company Soccer 5 Evolution, holding company of certain managers of the Group, with
the implementation of sales promises.

Ultimately, Compagnie des Alpes will hold, as announced, 86.5% of the capital of the parent company of the Urban Group.

Compagnie des Alpes thus becomes the majority shareholder alongside the managers/founders and management of the Urban group, who remain shareholders of the company Soccer 5 France at 13.5% of the capital.

This acquisition is carried out on the basis of an enterprise value of 157 million euros (for 100% of the capital) and a price of 129.7 million euros for 86.5% of the capital, accompanied by a potential price supplement of 10 million euros.

The balance (13.5%) could be repurchased by Compagnie des Alpes over a period of 4 to 5 years, with a valuation method identical to that of the acquisition of 86.5%.

As a reminder, the Urban group plans to achieve a turnover for its 2023/24 financial year (ending on June 30) of approximately 48 million euros and an estimated post IFRS 16 EBITDA, and unaudited, of approximately 21.5 million euros.
