(Boursier.com) — Archos announces the obtaining today of a waiver relating to the flexible bond financing agreement entered into on March 17, 2021 with the investment fund YA II PN, Ltd represented by Yorkville Advisors Global LP, as already amended by way of endorsements on September 21, 2021 and December 15, 2021.
Under the terms of this Waiver, the Investor has accepted, for a period of twelve months from the date of the Waiver, that the Company may carry out an issue of bond instruments, provided that the nominal amount and interest, if applicable, of these bond instruments do not exceed 2,000,000 euros. In return for this Waiver, the Investor will have the right to request, for a period of twelve months from the date of the Waiver, the redemption in cash by the Company of all or part of a nominal amount of OCA equal to 500,000 euros at a purchase price equal to 110% of the principal amount of the OCAs (i.e. 550,000 euros).
