Argan: 24% growth in the 2021 dividend, set at 2.60 euros/share with the option of payment in shares


(Boursier.com) — The combined general meeting of shareholders ofArgan met on Thursday March 24, 2022 at the premises of the Salons Hoche in Paris.
On this date, the total number of existing shares was 22,588,545 for a total number of voting rights of 22,583,227. At this general meeting, the shareholders present, duly represented, having validly given power of attorney to the Chairman or having voted by post, together held 18,179,109 shares and as many voting rights, i.e. 80.50% of the total.

The combined general meeting of shareholders approved all of the proposed resolutions, including in particular:

-Resolution no. 4 providing for the distribution of a dividend of 2.60 euros/share,
-Resolution no. 5 proposing the option for the payment of the dividend in shares (on the entire dividend) with a subscription price of 101.92 euros,
-Resolution no. 15 concerning the renewal of the term of office of Mr. François Régis De Causans as a member of the Supervisory Board.
-Resolution no. 16 concerning the appointment of Jean Claude Le Lan Junior as a new member of the Supervisory Board.

The detachment of the right to the dividend will take place on April 1, 2022, its payment on April 26, 2022.

The option for payment in shares must be exercised from April 5 until April 20, 2022 inclusive. After this period, shareholders who have not opted for payment of the dividend in shares will receive their dividend in cash.

For individual shareholders resident in France, this dividend of 2.60 euros:
Is deducted from the exempt profits of the SIIC and is not eligible for the 40% allowance referred to in Article 158-3-2o of the General Tax Code up to 1.69 euro,
Is deducted from the taxable income of the SIIC and is eligible for the 40% allowance referred to in Article 158-3-2o of the General Tax Code up to 0.14 euro,
However, it is recalled that, for these same shareholders and except in special situations, this dividend will be fully subject to the single flat-rate deduction at the overall rate of 30% and will not be subject to the income tax scale, with application of the tax deduction. above-mentioned 40%, only in the event of an option in this direction by certain shareholders formulated at the time of the subscription of their annual declaration of income.
Constitutes a repayment of contribution up to 0.77 euros.
