AXA: on the agenda for the General Meeting

(Boursier.com) — AXA has published in the Bulletin of Mandatory Legal Announcements the resolutions that the Board of Directors will submit to the next Annual General Meeting of Shareholders, on April 23, 2024, at 2:30 p.m., Salle Pleyel in Paris.

In addition to the approval of AXA’s consolidated accounts and corporate accounts for the 2023 financial year and the approval of a dividend per share of 1.98 eurosshareholders will be asked in particular to approve the following resolutions:
– the renewal of the mandates of Antoine Gosset-Grainville, Ms Clotilde Delbos and Ms Isabel Hudson for a period of 4 years,
– the renewal of the mandates of Ms Angelien Kemna and Ms Marie-France Tschudin for a period of 3 years, in order to ensure a staggering of the mandates of the members of the Board of Directors,
– the appointment of the director representing the employee shareholders of the AXA Group. Following an internal election, 6 candidates were nominated by the employee shareholders of the AXA Group and will be put to a shareholder vote. Ms. Helen Browne, the current representative, having obtained the greatest number of votes cast by employee shareholders, the Board of Directors will recommend her appointment as director representing employee shareholders.

AXA recalls that André François-Poncet, member of the Board of Directors for 8 years and member of the Remuneration, Governance and Sustainable Development Committee and the Finance and Risk Committee, whose mandate expires at the end of the General Assembly, decided not to seek a new mandate. The renewal of his mandate will therefore not be proposed to the General Assembly. Furthermore, in order to reduce the size of the Board of Directors and in accordance with a recommendation from the Board’s self-assessment carried out in 2022, the Board of Directors decided not to replace it.
