BOOSTHEAT (FR0011814938 / ALBOO), a French industrial player in energy efficiency, provides an update following the favorable decisions of the supervising judge and announces that it has been authorized to receive the current account contribution on which HBR INVESTMENT GROUP had committed and have signed agreements concerning its premises in Vénissieux. I AUTHORIZATION OF HBR CURRENT ACCOUNT FINANCING

BOOSTHEAT announces that it has been authorized by the statutory auditor to receive a current account contribution of €1 million from HBR INVESTMENT GROUP to finance its observation period (of which €500,000 has already been paid into the accounts of the Company, the balance to be paid according to the needs of the company and at the latest before the end of February 2023). This contribution will supplement the Company’s existing equity financing line, thus covering all of the financial needs of the turnaround project. The contributions of HBR INVESTMENT GROUP will benefit from the privilege provided for in article L622-17 of the commercial code up to one million euros.

Concomitantly with this decision, BOOSTHEAT also received authorization to sell its unused equipment due to the cessation of production and the change of activity in the design office, and representing an estimated value of more than €100,000. . Part of the material has already been the subject of a mark of interest above the value set by the auctioneer and the rest of the material may be the subject of an auction.

All of the funds linked to the sale of the equipment will be paid into an account opened with the deposit and consignment fund and will be used to finance the dividends of the turnaround plan (ie: paying off creditors under the safeguard plan).

I SIGNATURE OF NEW PREMISES IN VENISSIEUX

In addition, the supervising judge in charge of the company also issued an order allowing BOOSTHEAT to terminate its current premises in Vénissieux with its lessor SAS USIN Lyon Parilly and to sign a new lease contract in premises located on the same site. with the same lessor but better suited to its new dimension and generating savings of around €450,000 per year

At the same time, BOOSTHEAT informs that the lease of its R&D center near Toulouse has been terminated since December 31, 2022. Not having reached an agreement with its lessor concerning the amount of the residual debt, it will be dealt with within the framework of the backup plan.

I POSTPONEMENT OF THE COMBINED GENERAL MEETING

BOOSTHEAT finally informs that a mixed general meeting was convened on February 9, 2023 for the purpose of proceeding with the ratification of the new directors (Messrs. Hugo Brugière, Baudouin Hallo and Emmanuel Couraud) and to authorize the Board of Directors to operate on the securities of the company for the purposes of financial transactions. As this Meeting did not reach the required quorum, a new Combined General Meeting will be convened on 1

March 2023 at 6 p.m. Many shareholders have indicated that they are waiting to participate to find out whether the orders announced for several weeks will be rendered since the latter have a direct impact on the continuity of the company’s operations and the success of the safeguard plan. The quorum should therefore be reached for the next general meeting.

I CALENDAR

BOOSTHEAT recalls that the next hearing is scheduled for March 29, 2023, the date on which the Company should present its safeguard plan in accordance with the Offer. This hearing could be brought forward if the safeguard plan, currently being prepared by the Company, were able to be brought sooner.
