(Boursier.com) — The Combined General Meeting of Shareholders of Capelli, which was held on January 24, approved the plan to transfer the listing of the company’s securities from Euronext Paris (compartment C) to Euronext Growth managed by Euronext Paris SA. The shareholders have granted all powers to the Board of Directors to implement this transfer.
The Board of Directors, which met after the General Meeting, decided to implement this transfer.
Admission of Capelli shares on Euronext Growth Paris will take place within a minimum period of 2 months.
Euronext Growth has asserted itself since its creation as the market of choice for growth companies with a market capitalization of less than 1 billion euros and a free float of more than 2.5 million euros. Listing on Euronext Growth will allow the Capelli Group to take advantage of the momentum of being listed on a market more appropriate to its size and to reduce its listing costs while continuing to benefit from the attractions of the financial markets, and this by maintaining a relationship of quality and transparency with its shareholders.
Subject to the agreement of Euronext Paris SA, the listing of Capelli shares on Euronext Growth Paris will be carried out through an accelerated procedure for the admission to trading of existing shares, without the issuance of new shares.
From the 2022/2023 financial year, the half-year report including the financial statements and the activity report will be published within 4 months of the end of the semester (3 months currently in force on Euronext Paris). The Group may also choose to prepare its accounts either in accordance with IFRS or in accordance with French standards.
Capelli will remain subject, for a period of 3 years from the transfer of its shares to Euronext Growth, to the system of mandatory public offers and to the maintenance of information obligations relating to the crossing of legal thresholds, as applicable to shareholders of companies whose securities are listed on Euronext Paris.
