Capgemini: evolution of the Board of Directors


(CercleFinance.com) – On the occasion of the 2023 General Meeting, the Board of Directors is proposing the appointments of Ms. Megan Clarken and Ms. Ulrica Fearn as members of the Board of Directors for a term of four years.

A New Zealand national, Ms. Megan Clarken is the Chief Executive Officer of a global technology company.

A Swedish national, Ms. Ulrica Fearn has acquired throughout her career solid financial experience through multiple positions within major international companies in sectors that rely on technology for their sustainable transformation (energy, telecommunications , consumer goods and trade).

Mrs. Xiaoqun Clever expressed her wish not to renew her mandate. Following a change in her responsibilities within Bosch, Ms. Tanja Rueckert has decided to retire from the Board of Directors, with effect at the end of the General Meeting of May 16, 2023.

‘ In the event of the approval of these resolutions by the General Meeting of May 16, 2023, the composition of the Board of Directors would thus be 15 directors, including two directors representing employees and one director representing employee shareholders. It will count among its members 83% of independent administrators, 40% of administrators with international profiles and 42% of women’ indicates the group.
