(AOF) – Claranova has announced that its Avanquest division has entered into a firm agreement with the German company pdfforge GmbH (PDF forge), aimed at acquiring all of its capital for a total amount of 24.5 million euros. Financed in cash, the acquisition provides for the payment of 19 million euros upon completion of the transaction, and 5.5 million euros at the end of the first anniversary of the acquisition. Through this new operation, Avanquest is reaffirming its ambition to establish itself as Adobe Acrobat’s benchmark competitor in the PDF management software segment.
Downloaded more than 50 million times over the last three years and distributed in more than 180 countries, the PDFCreator software marketed by PDF forge, offers advanced features and options for creating PDF documents for the B2B segment.
The integration of PDF forge within Avanquest’s portfolio of PDF solutions will enable the division to expand its offering dedicated to businesses, while accelerating the growth of its recurring revenues. With 85% of sales made in the form of subscriptions, PDF forge products also enjoy an excellent reputation among their users, with renewal rates of more than 80%.
The two co-founders and sole shareholders of the company, Philip Chinery and Frank Heindörfer, will continue to manage the PDF forge activities within Avanquest to ensure their proper integration and continued development.
The closing of the transaction is expected no later than June 15, 2022, subject to the fulfillment of the usual conditions precedent.
