(AOF) – La Compagnie des Alpes announces that it has signed an agreement for the acquisition of 86.5% of the capital of the Urban group (UrbanSoccer/UrbanPadel), leader in 5-a-side football centers and co-leader of padel in France . The Urban group directly operates 33 centers in France and 1 center in Portugal, which represent a total of 268 5-a-side football pitches. It is also developing a padel activity and currently has 49 dedicated courts spread across its centers.
The acquisition of 86.5% of the capital of the company Soccer 5 France SAS would be carried out on the basis of an enterprise value of 157 million euros (for 100% of the capital) and a share price of 129.7 million euros (for 86.5% of the capital). The balance of the capital (13.5%) which would be repurchased by Compagnie des Alpes within 4 to 5 years would be valued using a method equivalent to that used for the acquisition of 86.5%.
The operation would be financed using the group’s available cash and/or financing lines “thus guaranteeing the absence of recourse to external or conditional financing”. It would not affect the debt ratio that must be respected by the group.
Compagnie des Alpes emphasizes that this agreement in principle “does not prejudge the positive finalization of the operation”.
