Compagnie Lebon: shareholders authorize a strengthening of equity









(Boursier.com) — The Combined General Meeting of Shareholders of the Company Lebon was held on May 24 in Paris.

After the presentation of the 2022 financial results and the main elements of Compagnie Lebon’s strategy for the coming years, the shareholders approved the resolutions put to the vote, in particular, the 2022 corporate and consolidated financial statements and the dividend of 3.50 euros per share whose payment will take place on May 30.

The shareholders approved the remuneration of the directors, as presented in the corporate governance report.

They validated the renewal of the mandates of CETIG, represented by Mr. Jean-Emmanuel Enaud de Morhéry, Mr. Pascal Paluel-Marmont and Mrs. Aurore Paluel-Marmont, as well as the cooptation of the Simones company, represented by Mrs. Sophie Lacoste -Dournel, replacing Mrs. Sophie Lacoste-Dournel.

Authorization to issue securities

Concerning the capital, the shareholders granted the authorization to the Board of Directors to proceed with the cancellation of treasury shares.

They approved the delegations of authority to the Board of Directors to proceed with the issue of new equity securities of the company, in anticipation of the possibility of a strengthening of shareholders’ equity or possible future investment opportunities.

On the other hand, they did not approve resolution 17, which proposed to delegate to the Board of Directors the authority to proceed with the issue of equity securities for the benefit of employees who are members of the group’s company savings plan.

It is specified that the shareholders will be informed in advance of any capital increase if such a delegation is used by the Board of Directors.
