Danae Group: acquisition of a controlling interest in the capital of the company Entreprendre


(Boursier.com) — DANAE Group, a player in media and communication, announces its deployment in the sector by announcing the strategic acquisition of a controlling interest in the capital of the company ENTREPRENDRE listed on the Euronext Growth Paris market ( ISIN code: FR0000045122 – Mnemo: ALENR).

This friendly merger was carried out on Monday May 6, 2024 by way of off-market acquisition by DANAE Group through its wholly-owned subsidiary called GROUPE ENTREPRENDRE, of a total number of 524,073 shares, representing a total of 85.38% of the capital and 75.68% of the theoretical voting rights of the company ENTREPRENDRE (usually called ENTREPRENDRE-LAFONT PRESSE).

These acquisitions were made from Mr. Robert Lafont:
– directly for 69,612 shares (i.e. 11.34% of the capital) representing 138,833 voting rights (i.e. 11.47% of the voting rights before transfer); And
– indirectly with the company Robert Lafont Participations, for 454,461 shares (i.e. 74.04% of the capital) representing 908,922 voting rights (i.e. 74.74% of the voting rights of the Company before sale).
These shares were acquired on the basis of a price of 6.52 euros (coupon attached) per share accompanied, where applicable, by a subsequent price supplement of a maximum amount of 1.91 euros per share depending on the operating profit which will be generated by the company ENTREPRENDRE for the financial year ending December 31, 2024.

The acquisition of the majority block, the terms of which are final, was financed by DANAE Group with its own funds and by bank financing.
