Dékuple: ex-dividend on June 21


(Boursier.com) — The Combined General Meeting of Dekuple, chaired by Bertrand Laurioz, Chairman of the Board of Directors, was held on June 16. The meeting approved the parent company and consolidated financial statements for the 2022 financial year.

Dividend

The General Meeting decided to distribute a dividend of 0.88 euro per share, in accordance with the proposal made by the Board of Directors. His detachment date is set for June 21 and his payment will take place on June 23.

Renewal of the Board of Directors

The Meeting decided to renew the mandates of 9 directors for a period of 3 financial years expiring at the end of the ordinary general meeting called to approve in 2026 the financial statements for the financial year ending on December 31, 2025.

The general meeting also noted the end of Mrs. Robin Smith’s term of office as a director and decided not to appoint a replacement, the number of board members now being set at 9 (4 women and 5 men). All the shareholders “warmly thank Mrs. Robin Smith for her support and her involvement in the development of the Group for several decades”.

The general meeting finally decided to renew the mandate of Dinesh Katiyar, as censor, for a period of three fiscal years.

Other resolutions

The company’s shareholders also passed the set of resolutions, which included:
– Approval of regulated agreements and the compensation policy for corporate officers and members of the Board for 2023, as well as all the components of the compensation and benefits of any kind paid or awarded during or under the 2022 financial year to the Chairman and Chief Executive Officer;
– The authorization given to the Board of Directors to implement a share buyback program.

Bertrand Laurioz reappointed as CEO

The board of directors, which met after the general meeting, renewed the mandate of Bertrand Laurioz as Chairman and Chief Executive Officer.

The Board of Directors has also redefined the composition of its advisory committees:
– The audit committee is made up of Ms. Delphine Grison and Roland Massenet, who chairs it.
– The Appointments and Remuneration Committee is made up of Ms. Delphine Grison and Xavier Gandillot, who chairs it.
– The Development Committee is made up of Stéphane Treppoz, Roland Massenet, Dinesh Katyar and Bertrand Laurioz, who chairs it.
– The CSR committee is made up of Ms Caroline Desaegher, Ms Isabelle Vigneron-Laurioz and Ms Claire Vigneron-Brunel, who chairs it.
