Appointment of an agent

By order of the President of the Bobigny Commercial Court dated May 24, 2024, SELARL Thevenot Partners, represented by Maître Vincent Bloch, domiciled at 42, rue de Lisbonne – 75008 Paris, was appointed as agent
ad hoc
responsible for representing defaulting shareholders on the occasion of the Combined Annual General Meeting to be held on June 4, 2024, taking into account the impossibility for the Company, noted during previous general meetings, to meet the quorum necessary for the holding such a meeting.
In accordance with the terms of the agent’s mission
ad hoc
and in order to make the participation of the agent neutral
ad hoc
during the deliberations, the voting rights attached to the shares of the defaulting shareholders must be exercised as follows by the said agent:
for ordinary draft resolutions, whether presented, approved or not approved by the Board of Directors: half positive votes and half negative votes;
for extraordinary draft resolutions presented or approved by the Board of Directors: two-thirds positive votes and one-third negative votes;
for extraordinary draft resolutions not approved by the Board of Directors: one third of positive votes and two thirds of negative votes.
