(Boursier.com) — The General Meeting of Eiffel Towermeeting on May 15, 2024, under the chairmanship of Patrick Bernasconi, approved, by majority, all of the resolutions recommended by the Board of Directors.
Suspension of dividend
The General Meeting decided to suspend the dividend for the 2023 financial year in order to preserve the company’s financial resources.
Evolution of governance
The directorships of Patrick Bernasconi, Jacques Chanut, AG Real Estate, MH Puccini, SMAvie BTP, and Suravenir were renewed for a period of 3 years. In addition, the General Meeting appointed Bruno Cavagné as director for a period of 3 years.
The terms of office of all of these directors will expire at the end of the General Meeting approving the accounts for the 2026 financial year.
In addition, the Board of Directors renewed, for a period of 3 years, the mandate of General Director of Christel Zordan. This renewable mandate takes effect on May 15, and will expire at the end of the Ordinary General Meeting called to decide in 2027 on the approval of the corporate accounts for the financial year ending December 31, 2026.
The mandate of Ernst & Young et Autres as Statutory Auditor has been renewed for a period of 6 years expiring at the end of the Annual General Meeting which will be called to rule in 2030 on the accounts of the financial year ended December 31, 2029.
Furthermore, the General Meeting, on the recommendation of the Board of Directors, appointed Deloitte & Associés as statutory auditor, for a period of 6 years, replacing PricewaterhouseCoopers Audit. This mandate will expire at the end of the Annual General Meeting which will be called to approve in 2030 the accounts for the financial year ending December 31, 2029.
Bruno Cavagné as Chairman of the Board of Directors
Bruno Cavagné was also appointed by the directors, Chairman of the Board of Directors. He succeeds Patrick Bernasconi, who took office in February 2022, and whose mandate expired at the end of the General Meeting.
President of SMAvie BTP since October 2023, Bruno Cavagné has led Giesper since 1995, a family group of 300 employees based in Toulouse and specializing in the fields of public works, construction, real estate development and hotel management.
