The gross proceeds of the capital increase by private placement of December 5, 2023 amount to 10,004,064.70 euros, of which 8,059,167.20 euros were paid in cash, and 1,944,897.50 euros were paid by compensation with liquid and payable receivables (of which 1,302,660.10 euros were released in full at the time of settlement-delivery, and 227,712.40 euros were released by a quarter of the nominal value and the entire premium of issue on the day of settlement-delivery, and the balance of which, i.e. 414,525 euros, will be released in accordance with article L. 225-144 of the Commercial Code).
The settlement-delivery of December 8, 2023, for the first capital increase, concerned 488,630,000 new ordinary shares, for a gross amount of 2,838,940.30 euros, fully paid in cash on December 8, 2023.
The settlement-delivery of December 22, 2023, for the two other capital increases, concerned 1,233,240,000 new ordinary shares, of which 898,490,000 shares were released in cash and 334,750,000 shares were released by compensation with liquid and payable receivables, for a total gross amount of 7,165,124.40 euros, of which (i) 6,522,887 euros were fully paid, corresponding to 1,122,700,000 new shares issued and fully paid, and (ii) the balance, i.e. 642,237.40 euros, was released from a quarter of the nominal value and the entire share premium (i.e. up to 227,712.40 euros) on December 22, 2023 (it being specified that the balance of the nominal – i.e. 414,525 euros – will be released in accordance with article L. 225-144 of the commercial code), corresponding to 110,540,000 new ordinary shares issued and partially paid up.
