Europlasma: new bond drawing

(Boursier.com) — Europlasma proceeded with the drawing of the 15th tranche of 200 OCEANE, without BSA attached, for a nominal amount of 1 million euros.

The company specifies that this drawing takes place within the framework of the bond loan with a maximum nominal amount of 15 ME announced in March 2023. This is the 15th and final tranche of the bond issue contract giving access to bonds convertible or exchangeable into new and/or existing shares (OCEANE) with attached subscription warrants where applicable (BSA) for the benefit of Environmental Performance Financing (EPF).

The issue of 200 OCEANEs likely to be carried out following this drawing and the completion of which is subject to the lifting of the suspensive conditions, could give rise to the creation of 798,276 new shares of the company on the basis of a price theoretical conversion rate of 1.2527 euros, or 100% of the lowest volume-weighted average daily price of the ordinary share over the 15 consecutive trading days immediately preceding the drawing.

The participation of a shareholder holding 1% of the company’s capital before issue could thus amount to 0.7%.

Furthermore, Europlasma recalls that it entered into a new bond financing contract with EPF on April 23, 2024, for a maximum nominal amount of €30 million over 36 months, in the form of bond issue warrants convertible into new shares. with subscription warrants attached where applicable, “in order to financially support the strong growth of the Europlasma Group’s scope”.
