Gaussin enters into exclusive negotiations for the acquisition by MACNICA of its majority stake in GAMA

(Boursier.com) — GAUSSIN, pioneer of clean and intelligent mobility, announces having received a unilateral promise from MACNICA for the acquisition of all of GAUSSIN’s securities and receivables in their joint venture GAMA (Gaussin-Macnica -Mobility), whose activity is dedicated to autonomous and zero-emission mobility for the transport of people and goods.

GAMA was born from the takeover of the assets of the company Navya in April 2023. This joint venture is 51% owned by GAUSSIN and 49% MACNICA.
GAMA is a French company specializing in autonomous mobility systems for the transport of people and goods. Its headquarters is in Villeurbanne and the company employs 135 employees in France.

The relevant staff representative bodies will be consulted on this project. The buyout operation would be effective at the end of April/beginning of May 2024, subject to the finalization of the organizational and operational procedures by the two companies, and its validation by all the competent authorities and bodies.

An operation in line with GAUSSIN’s strategy

This divestment project is directly in line with the strategic refocusing of the GAUSSIN Group around its most profitable activities, namely ATM (logistics), APM (port) and TSP (underground) “off-road” electric vehicles. The sale of this majority block in GAMA will also allow the GAUSSIN Group to strengthen its cash flow while controlling its operational cost base and R&D expenses.

Autonomous driving for “off-road” activity remains a major area of ​​development for the GAUSSIN company.

Since 2013, Gaussin has been developing its own autonomous driving systems in-house that enable fully autonomous operations in mixed traffic within closed areas. GAUSSIN was thus able to deploy its autonomous driving electric vehicles at the port of Singapore from 2019.

The agreement between the two companies indicates possible cooperation on the development of autonomous off-road vehicles. At the end of the planned operation, the two companies will define the role of each. GAUSSIN retains its know-how in automating and securing the platforms of its logistics and port vehicles and could entrust GAMA with the development of software and tools for managing the autonomous driving of GAUSSIN vehicles.

Jean-Claude BAILLY, former vice-president of GAUSSIN, remains at the head of GAMA.
