Gaussin takes action in the face of governance difficulties and requests the appointment of a provisional administrator

(Boursier.com) — Gaussin the world leader in innovative transport and logistics solutions, announced that Charles Henri Carboni, judicial administrator of the company, had contacted the President of the Vesoul Commercial Court for the purpose of appointing a provisional administrator in order to preserve the interests of the company, employees and shareholders.

The company’s management, employees and the bodies of the safeguard procedure have been informed of the holding of a meeting, on May 6, 2024, between two members of the Board of Directors of Gaussin SA. The latter claimed to have dismissed Christophe Gaussin from his mandate as President and Managing Director of the company during this meeting and to have proceeded with the appointment of Stoyan Filipov as Managing Director.
This information was disclosed in the press by those involved and their supporters.

These maneuvers, as well as the validity of these acts, are firmly contested. Legal action was taken to recognize the illegal and fraudulent nature of the May 6 meeting and to annul the decisions taken there.

At the same time, Christophe Gaussin and Me Charles Henri Carboni received a letter from these same directors contesting the convening of the General Meeting of shareholders by Me Jean-Baptiste Albertini, ad hoc representative appointed by the President of the Vesoul Commercial Court. This meeting of the General Assembly, which will be held on June 18, aims to appoint four new directors (Cf. CP of May 13, 2024).

In order to avoid further disruptions for the company and to allow shareholders to decide sovereignly on the composition of the Board of Directors in accordance with the rules applicable in this area, Me Charles-Henri Carboni contacted the President of the Commercial Court of Vesoul in order to appoint a provisional administrator.
