(Boursier.com) — Heritage and Commerce announces the plan to carry out a capital increase reserved for the benefit of Crédit Agricole Center France via its subsidiary CACF Investissements Fonciers. This capital increase aims to contribute to the continued development of Patrimoine & Commerce and the financing of future acquisitions.

In this context, the Supervisory Board of Patrimoine & Commerce approved on April 25 the issue of 869,565 new shares, reserved for Crédit Agricole Center France at a price of 23 euros per share, including 10 euros of nominal value and 13 euros of premium. issue price per share, i.e. a total subscription price of 20 million euros.

The proposed subscription price of 23 euros per share corresponds to a premium of +15% on the stock price on April 24 restated for the dividend for the 2023 financial year (1.35 euros per share; i.e. a restated stock price of 20.15 euros per share). The price of 23 euros also highlights a discount of 17% on the NAV excluding P&C rights as of December 31, 2023 (of 29.12 euros per share), restated for the dividend for the 2023 financial year (1.35 euro per share; i.e. a restated NAV of 27.77 euros).

This issue of Patrimoine et Commerce shares is subject to the approval of the extraordinary general meeting of limited partners, which will be held on June 13.

At the end of this operation, the share capital of Patrimoine & Commerce would amount to 159,724,580 euros divided into 15,972,458 shares.
