Hopium: Jean-Baptiste Djebbari is appointed Chairman of the Board of Directors

(Boursier.com) — The shareholders ofHopium met on June 20 for a Combined General Meeting in Paris. On this occasion, they adopted by a very large majority all the resolutions within the competence of the Ordinary and Extraordinary General Meeting.

The shareholders notably adopted the appointment of Jean-Baptiste Djebbari as director.

Separation of governance functions

At the end of this general meeting, the Board of Directors met to adopt a new governance structure and separate the functions of Chairman of the Board of Directors and Chief Executive Officer, Hopium thus adopting a online governance with best practices. The new governance was effective the same day.

Consequently, on June 20, 2022, Jean-Baptiste Djebbari was appointed Chairman of the Board of Directors. Olivier Lombard will continue in his role as Chief Executive Officer of Hopium.

As a reminder, the Board of Directors is now composed of the following members: Jean-Baptiste Djebbari (Chairman); Oliver Lombard; Herve Lenglart; Sylvain Lawrence.

The adoption at the general meeting of the 20th resolution results in the subscription of new shares of the Company by the investment company LDA Capital, by way of compensation with the debt resulting from the commission due by the Company at the place of the operation, for an amount equal to 2% of the total amount of financing proposed, i.e. 1 ME.
