JCDecaux: Goldman Sachs clarifies its holdings

(Boursier.com) — In a letter received on April 13 from the AMF, The Goldman Sachs Group, Inc. declared that it crossed upwards, on April 11, the thresholds of 5% of the capital and voting rights of JCDecaux HER. The group indirectly holds, through the companies it controls, 11,130,284 JCDecaux SA shares representing as many voting rights, ie 5.23% of the capital and voting rights of JCDecaux.

This crossing of thresholds results from an off-market acquisition of JCDecaux SA shares.

On this occasion, the company NN Investment Partners Holdings NV declared that it had individually crossed the same thresholds upwards.

Under the French Commercial Code, The Goldman Sachs Group, Inc. has specified that it holds, indirectly, through the companies it controls, 18,084 JCDecaux SA shares (taken into account in the holding by assimilation referred to above ) resulting from a loan of shares with “right to recall” relating to as many JCDecaux SA shares and allowing it to recall these shares at any time.

In addition, The Goldman Sachs Group, Inc. stated that it holds, indirectly, through the companies it controls, 4,196 “call warrants” (taken into account in the holding by assimilation referred to above), to be settled in cash and relating to as many JCDecaux SA shares.
