(Boursier.com) — The Wood Builderseco-real estate developer specializing in wooden construction, announces the success of its capital increase by issuing New Shares with maintenance of the Preferential Subscription Right, for an amount of 1 ME.

François DUCHAINE, Chairman and CEO of LCB, declared: “We would like to warmly thank all investors, in particular our historic shareholders, for their trust. The Group now has a strengthened financial structure which will enable it to support its strong growth. and to continue its development strategy focused on green growth, in particular by rolling out the Eco’City model on a national scale. This operation also favored the widening of the free float with the prospect of a future transfer of titles to Euronext Growth.

Offer Results

The operation was decided by the Board of Directors on October 26, 2023, at a price of 3.50 euros per New Share representing a discount of 5.4% compared to the closing price of the meeting of December 5, 2023.

At the end of the DPS listing period and the subscription period closed on December 20, subscription requests to the Offer amounted to 285,714 shares for 100% of the amount initially proposed and the request was distributed as follows :

– 18,514 irreducible shares, or 6.5% of the Offer;
– 70,810 shares on a reducible basis, or 24.8% of the Offer;
– 196,390 free shares, or 68.7% of the Offer.

The service rate of the Offer is therefore 100%. The gross amount of the capital increase amounts to 999,999.00 euros and results in the creation of 285,714 New Shares. The number of shares in circulation is thus increased to 4,285,714 post capital increase, which values ​​LCB at 18.7 ME based on the closing price of the session of December 22 at 4.36 euros.

The share capital of the company post-capital increase will amount to 42,857.14 euros, divided into 4,285,714 shares of 0.01 euro par value each.

CFD CAPITAL, holding company of the DUCHAINE family, subscribed on an irreducible basis to 149,999.50 euros and on a reducible basis to 117,897.50 euros, for a total amount of 267,897 euros, or 76,542 New Shares. At the end of the Offer, CFD CAPITAL’s participation is thus reduced to 76.7% (vs. 80.2% prior to the Offer).

The settlement and delivery of the New Shares issued as part of the Offer and the start of negotiations of the New Shares will take place on December 29, 2023. These shares will be assimilated to existing shares upon their issue and will confer the same rights as existing shares in circulation. .
