Madvertise: capital increase of 1.7 ME by debt set-off





(Boursier.com) – Madvertise announces the completion of a reserved capital increase of € 1,701,171 fully subscribed by Mr. Robert C. Kopple through his revocable American law trust, EL II Properties Trust, and released by debt set-off. The Chief Executive Officer, making use of the sub-delegation conferred on him by the Board of Directors of the Company on December 13, 2021, himself making use of the delegation of authority under the terms of the 17th resolution of the Combined General Meeting of the shareholders of June 24, 2021, decided on December 13, 2021, to carry out a capital increase for a nominal amount of 511,169.20 euros. This includes the creation and issue of 5,111,692 new ordinary shares with a par value of ten euro cents (0.10 euro) each with an issue premium of a total amount of 1,190,001 , 80 euros, with cancellation of the preferential subscription right for the benefit of Mr. Robert C. Kopple through his revocable American law trust, EL II Properties Trust, to be released by offsetting a current account receivable held by Mr. Robert C. Kopple through the same trust, EL II Properties.

As of December 23, 2021, this transaction resulted in the issuance of 5,111,692 new shares fully subscribed by Mr. Robert C. Kopple through his trust, EL II Properties Trust and released by debt set-off. The new shares issued are assimilated to existing shares and admitted to trading on Euronext Growth Paris since December 23, 2021, on the same listing line as the existing shares under ISIN code FR0010812230. Following this transaction, Madvertise’s share capital amounts to € 1,859,697.20, divided into 18,596,972 shares with a nominal value of € 0.10, listed on the Euronext Growth Paris market. The post-transaction dilution resulting from the capital increase represents 25.6%. The settlement-delivery of the new shares should take place at the end of the first week of January 2022.
