Minutes of the Combined General Meeting
from June 10, 2022
Clermont-Ferrand, June 13, 2022 – (FR0004177046 METEX), METabolic EXplorer (METEX), leader in industrial fermentation allowing the manufacture of ingredients of natural origin intended for the animal nutrition, cosmetics and biopolymers markets, today announces the results of the Ordinary and Extraordinary General Meeting of its shareholders, which was held on June 10, 2022, at the Edouard VII Conference Center, 23 square Edouard VII, 75009 Parischaired by Benjamin Gonzalez, Chairman and Chief Executive Officer.
On first call, the Combined General Meeting of June 10, 2022 met the necessary quorum and all the resolutions were thus able to be presented and put to the vote. The shareholders present and represented totaled 46.91% of the company’s share capital and 48.54% of the number of votes. The company thanks all of its shareholders who took part in the votes on these resolutions.
As part of this Annual General Meeting, the shareholders present or represented adopted all the resolutions[1] supported by the Board of Directors, including in particular those relating to:
- the approval of the Group’s annual and consolidated financial statements for the 2021 financial year;
- the option given to the Board of Directors to carry out a share buyback program within the limit of 10% of the company’s share capital; and
- various delegations of authority and financial authorizations granted to the Board of Directors.
He was finally given full powers to carry out the legal formalities.
