(CercleFinance.com) – Metavisio (Thomson Computing) previously entered into exclusive negotiations on September 9, 2022 with SportsTek Acquisition for a business combination project.
In order to finalize the definitive terms and prepare the contractual documentation of the Proposed Transaction, Metavisio and SportsTek have just extended until December 31, 2022 (inclusive) the exclusivity period which began on September 9, 2022.
It is recalled that the completion of the Proposed Transaction would be subject to certain customary conditions, and in particular to (i) the approval by the shareholders of SportsTek, (ii) the approval by the American Securities and Exchange Commission (SEC) and the Autorité des Marchés Financiers (AMF) under applicable stock market regulations, and (iii) obtaining undertakings to participate in the Proposed Transaction from the main shareholders of Metavisio representing at least 90% of the share capital of Metavisio on a fully diluted basis.
“Neither party is obligated to proceed with any transaction until the parties have negotiated and signed the final transaction documents,” the company said.
