OL GROUPE: Notice of final redemption of subordinated bonds redeemable in new and/or existing shares (“OSRANEs”) of OL Groupe due July 1, 2023 – 06/01/2023 at 6:30 p.m.

In accordance with the provisions of paragraph 4.1.8.1.1 (Normal redemption) of the securities note included in the prospectus which received visa no. 13-431 from the Autorité des marchés financiers on July 29, 2013, and 4.6.2.3.1.1 (Normal redemption) of the securities note included in the prospectus having received visa no. 16-543 from the Autorité des marchés financiers on November 23, 2016, all OSRANEs still in circulation , ie 41,965*, will be repaid automatically, in shares and in full, at maturity.

Each OSRANE (ISIN code FR0011544444) will be redeemed by the delivery of 91.334 new or existing shares of the Company, i.e. a total number of approximately 3,832,831 shares.

The Company may, at its option, choose between the delivery of new or existing shares or the delivery of a combination of new and existing shares.

All holders of OSRANEs will be treated fairly and will see their OSRANEs remunerated in new or existing Shares in the same proportion, subject to any rounding.

It is reminded that, when the number of Shares thus calculated is not a whole number, the OSRANE holder may request that it be delivered to him:

• either the whole number of shares immediately below; in this case, he will be paid in cash an amount equal to the product of the fractional share forming fraction by the value of the share, equal to the last price listed on Euronext Paris during the trading session of June 30, 2023;

• or the whole number of shares immediately above, on condition that the Company is paid a sum equal to the value of the additional fraction of a share thus requested, valued on the basis provided for in the preceding paragraph.

In the event that the holder of OSRANEs does not specify which option he wishes to retain, he will be given the whole number of Company shares immediately below plus a cash supplement as described above.

Any holder of OSRANEs wishing to request the early redemption of their OSRANEs must send a request to this effect to the Paying Agent no later than seven business days before the maturity date, it being specified that the number of shares delivered by the Company as such will be calculated by applying the redemption ratio of 88.523 shares (interest included) for 1 OSRANE.

*This number takes into account redemption requests for all OSRANEs held by Eagle Football Holdings Bidco Limited, controlled by Mr. John Textor (789,824 OSRANEs), all OSRANEs held by Holnest, the holding company and family office of Mr. Jean-Michel Aulas (163,569 OSRANEs), as well as requests for reimbursement from the public received during the month of May 2023 (735 OSRANEs), i.e. a total of 954,128 OSRANEs, which will give rise to the issue, at the beginning of June 2023 , of 84,462,271 new shares in application of the redemption ratio of 88.523 shares (interest included) for 1 OSRANE. Following these operations, on June 7, 2023, the capital of OL Groupe will thus consist of 172,042,208 shares. Eagle Football Holdings Bidco Limited will hold 80.09% of OL Groupe’s capital with a total of 137,785,769 shares, and Holnest will hold 8.42% of OL Groupe’s capital with a total of 14,479,618 shares.
