(AOF) – OL Groupe recalls that Eagle Football Holdings LLC, controlled by John Textor, has made a commitment to its main historical shareholders (Pathé, IDG Capital and Holnest) to acquire 39,201,514 OL Groupe shares at the price of 3 euros per share and 789,824 OL Groupe OSRANEs at a price of 265.57 euros per OSRANE. The acquisition contract is firm and unconditional; in particular, it does not include conditions relating to the financing of the operation or third-party agreements.

Eagle Football has also undertaken to subscribe, subject to the completion of these acquisitions, to a reserved capital increase by OL Groupe for a total amount of €86 million. This capital increase was approved by the general meeting of July 29, 2022.

With regard to the debt of the Olympique Lyonnais group, it is recalled that all the lenders of the Olympique Lyonnais group have given their consent to the operation (“waivers”), with effect at the closing.

As announced on October 24, 2022, after an initial postponement of the date of September 30, 2022, then October 21, 2022, Pathé, IDG Capital, Holnest, OL Groupe and Eagle Football have agreed on the setting of the new date. completion of the Transaction on November 17, 2022, in particular to enable Eagle Football to finalize its debt and equity financing, and to secure the Premier League’s agreement relating to Mr. Textor’s participation in Crystal Palace .

By such date, Eagle Football has submitted final signed documentation sufficient to complete the Transaction. However, Eagle Football were unable to complete the transaction without Premier League approval.
