Rungis, January 24, 2024 –

Omer-Decugis & Cie

(ISIN code: FR0014003T71 – ticker: ALODC), international group, specialist in fresh and exotic fruits and vegetables, announces the acquisition of 100% of the shares of the company EMA’S A/S, a Danish importer specializing in exotic products. This acquisition marks an important step in the Group’s European ambitions, offering it a gateway to the North and Scandinavia.

EMA’S A/S is a family company, recognized for its know-how in the import and export of exotics, mainly from Asia. It is particularly recognized as a European leader in the importation of star fruit. Based in Ebeltoft, on the east coast of Jutland, EMA’S A/S also has a logistics subsidiary in the Netherlands, located in Poeldijk, near the port of Rotterdam. This strategic location facilitates the transport of products to Scandinavia. The company has been managed for 20 years by Kenneth Blicher, son of the founder, and generates an annual turnover of around €6.3 million.

This acquisition is fully in line with the Group’s growth plan and its ambition for strategic development on an international scale and offers significant potential for synergies. EMA’S A/S’ client portfolio will enable the Group to access new markets, paving the way for commercial expansion in Northern Europe and Scandinavia. At the same time, the Danish company will have the opportunity to develop its product offering on the French market. The range dedicated to the Group’s small exotics, which is growing strongly, will benefit from supply synergies, particularly from Asia (star fruit, passion fruit, ginger, dragon fruit, etc.), where the Danish company is historically established and has significant know-how. Furthermore, by relying on the logistics capabilities of EMA’S A/S, the Group intends to pursue its strategy of massification of flows, with the creation of a relay logistics base in the Netherlands, a real commercial node for the transport of goods in Europe. A logistics base which will complement the French system and its 2 sites, in Rungis and Sorgues, for optimal coverage of the European market.

Kenneth Blicher and his colleagues join Omer-Decugis & Cie to contribute to the Group’s European development. Kenneth will join the executive committee of Omer-Decugis & Cie from 1

February 2024, as Managing Director of EMA’S A/S, in charge of the Group’s European development project.

The acquisition of EMA’S A/S quickly became obvious to our Group when Kenneth and I began our discussions. Beyond the numerous commercial, logistical and industrial synergies that exist between our companies, we share a base of strong values (family, performance, CSR) and the same corporate culture serving quality for the customer.

.

I have known Kenneth for over twenty years and have always had the deepest respect for the entrepreneur and professional that he is. I therefore very much hoped that he and his team would continue the adventure within the Group to consolidate our ambitions in Europe. EMA’S A/S is a family business which joins a family group to support it in its development and write a new chapter in its history, which I am happy and proud of,

I was convinced that joining the Omer-Decugis & Cie group was the best development opportunity for EMA’S A/S, the company created by my father. The business model driven by Vincent is ambitious and visionary for the fresh fruit and vegetable market in Europe. By combining our respective know-how and expertise, we have the means to build a range of benchmark exotic products, essential in the main European markets. My teams and I are therefore very happy to make our contribution by joining the Group,” says
