Rothschild & co: Concordia holds 95.6% of the capital


(CercleFinance.com) – Concordia announced on Tuesday that it had crossed the threshold of 90% of the capital and voting rights of Rothschild & Co following its takeover bid, thus allowing the implementation of a squeeze-out.

Following settlement and delivery of the offer, which is scheduled to take place on September 18, Concordia and the members of the concert will hold a total of 68.6 million shares representing 88.7% of the capital and 91.2% of the shares. voting rights.

Taking into account the cross purchase and sale promises and transfer commitments, i.e. 5.3 million Rothschild shares representing 6.9% of the capital and 4.5% of the voting rights, the effective holding amounts to to 73.9 million shares, or 95.6% of the capital and 95.8% of the voting rights.

Concordia, whose shareholders are members of the Rothschild family, plans to soon submit a request for implementation of the
compulsory withdrawal procedure with the AMF, under the same financial conditions as the offer, i.e. 38.60 euros.

Pending the implementation of the squeeze-out, the Rothschild & Co share price has been suspended.
