, announces that its statutory auditors have brought to its attention the occurrence of an irregularity during the appointment, in 2017, of Alain Pater SAS, as alternate to one of the Company’s statutory auditors. Since 2021, he has become co-statutory auditor, replacing the co-statutory auditor temporarily unable to attend.
This technical irregularity is due to an involuntary error in the procedure applicable during the appointment of this alternate, following a legislative change which took place shortly before this appointment This technical error is unrelated to the accounting and financial information appearing in the accounts .
The Company recalls that the Company’s consolidated financial statements for the 2022 financial year were published on March 8, 2023, after finalization of the audit procedures by the statutory auditors, and are accessible on the Company’s website at the address following: http://showroomprivegroup.com .
The Company now intends to take all necessary actions to regularize the situation in the coming weeks. To this end, the Company will convene a general meeting of shareholders for the end of May. The Company will soon communicate the agenda and the date of this general meeting.
As a result of the time needed to regularize this formal irregularity, the filing of the universal registration document will be delayed. This date as well as that of the annual general meeting which will be held after this filing will be communicated later. The Company will endeavor to finalize this adjustment as soon as possible.
