(CercleFinance.com) – The Board of Directors, on the proposal of the Appointments and Corporate Governance Committee, will submit four appointments of directors to the vote of the Combined General Meeting of Shareholders on May 23, 2023.

The Board of Directors proposes to appoint Mr. Slawomir Krupa as director, for a term of four years. Once elected, Mr. Slawomir Krupa will be appointed Chief Executive Officer by the Board of Directors. The functions of Chairman and Chief Executive Officer will continue to be separated.

The Board of Directors proposes to appoint Ms. Béatrice Cossa-Dumurgier as independent director, Ms. Ulrika Ekman as independent director and Mr. Benoît de Ruffray as independent director, for terms of four years.

The Board of Directors will be made up of 50% women (6/12) if we exclude from the calculations the director representing employee shareholders and the two directors representing the employees of 92% (11/12) of independent directors if we excludes from the calculations the three salaried directors and a number of directors of foreign nationality of 8 out of 15 members, ie an internationalization rate of 53% if the salaried directors are included.
