(Boursier.com) — The Annual General Meeting of shareholders of Sodexo was held this Friday, December 15, 2023 at the Seine Musicale auditorium in Boulogne-Billancourt, under the chairmanship of Sophie Bellon, President and CEO of Sodexo.
The quorum was 85.79% and 3,247 shareholders were present, represented or voted by mail.
All the resolutions proposed by the Board of Directors were adopted, and in particular those concerning:
setting the dividend at 3.10 euros per share. The coupon ex-date is set for December 20, 2023, and the dividend will be paid on December 22, 2023;
the renewal of the directorships of Sophie Bellon, Nathalie Bellon-Szabo and Federico J. González Tejera and the appointment of Gilles Pélisson as a new independent director for a period of 3 years;
remuneration and financial authorizations;
approval of the accounts for the 2023 financial year.
Please note: Following the confirmation by the Paris Court of Appeal on November 16, 2023 of the decision of the Competition Authority concerning meal vouchers on the French market, a provision of 127 million euros will be recognized in Other expenses, in the contribution of Pluxee (discontinued activity) for the 2024 financial year. This provision will not have an impact on the adjusted net income from continuing activities of Sodexo, on which the dividend distribution policy is based. As a reminder, this fine has already been fully paid at the end of the 2023 financial year. Pluxee continues to contest the initial decision and has decided to appeal to the Court of Cassation.
The resolutions relating to the Pluxee spin-off project allowing in particular the distribution of Pluxee shares were also adopted.
During the meeting following this General Meeting, the Board of Directors decided to renew Sophie Bellon in her position as Chairman and Chief Executive Officer, with Luc Messier remaining Independent Lead Director.
The Sodexo Board of Directors remains composed of 12 members of 4 nationalities, including 6 independent directors, 5 women and 2 directors representing employees.
