(CercleFinance.com) – Sopra Steria announces that it has signed an acquisition agreement with a view to acquiring all of the CS Group shares held by Yazid Sabeg, Eric Blanc-Garin and their joint holding Duna & Cie, representing approximately 29.73 % of the capital, for a price of 11.50 euros per share.
Following the acquisition of this main block and other blocks, for which sales agreements have already been granted on July 27, and taking into account the 9.8% already held, Sopra Steria will hold 75.06% of the capital of the critical systems specialist.
The completion of the transaction, which could take place in the first quarter of 2023, remains subject to customary conditions. Sopra Steria will then file a draft simplified mandatory takeover bid, with a view to a possible squeeze-out.
