TotalEnergies: Capital increase reserved for employees in 2022

(Boursier.com) — In accordance with its policy in favor of employee shareholding, the Board of Directors of TotalEnergies SE decided, on September 15, 2021, to implement a capital increase reserved for employees and former employees of TotalEnergies SE and its French and foreign subsidiaries held directly or indirectly at more than 50% (in capital or voting rights ) by the Company, members of the PEG-A Group savings plan, in France and abroad under the conditions set by the seventeenth resolution of the General Meeting of May 28, 2021.

On April 27, 2022, the Chairman and Chief Executive Officer set (i) the subscription period from April 29 to May 13, 2022 (inclusive) and (ii) the subscription price at €37.00 per share, corresponding to the average closing price of the TotalEnergies share on Euronext over the twenty trading sessions preceding the day of this decision, less a 20% discount and rounded up to the nearest tenth of a euro.

At the end of this period, 49,189 subscribers in 101 countries, representing 42.3% of eligible employees and former employees, subscribed to this capital increase for an amount of 337.8 million euros. These results are up on 2021 in terms of participation rate, number of subscriptions and amount subscribed.

“Once again this year, the employees of TotalEnergies have confirmed their attachment to the Company by largely subscribing to the capital increase operation reserved for them. As Chairman and Chief Executive Officer, I am proud of this and this comforts me. in my conviction that the employees fully support the strategy of transformation of TotalEnergies towards a multi-energy company, which will be able to contribute, with its stakeholders, to shaping the just transition to which our societies aspire”, declared Patrick Pouyanné, Chairman and CEO CEO of TotalEnergies.

As a result, 9,358,011 new shares will be issued on June 8, 2022. They will carry immediate dividend rights and will be fully assimilated to TotalEnergies shares already admitted to trading on Euronext.
Following this issue, employee participation in the capital of TotalEnergies SE, within the meaning of Article L. 225-102 of the French Commercial Code, will amount to 7.26% on the basis of the company’s capital. to June 8, 2022.
