Vergnet appeals the judgment canceling the AGM of March 17, 2023

Vergnet informs that, by Judgment dated August 31, 2023, the Orléans Commercial Court canceled the combined general meeting of March 17, 2023 due to an alleged lack of formality in the attendance sheet.
The meeting’s agenda included the delegation of authority to be given to the Board of Directors with a view to issuing ordinary shares and/or securities giving immediate and/or long-term access to ordinary shares of the Company or giving right to the allocation of debt securities, with elimination of preferential subscription rights for the benefit of categories of people meeting specific characteristics.
The same resolution was re-voted at the combined ordinary annual and extraordinary general meeting of July 27, 2023.
The particularly questionable Judgment of August 31, 2023 therefore in no way affects the operational dynamics of the company which intends to continue its restructuring and development work in order to realize its international and European projects.
Vergnet also announces that he has filed an appeal and intends to demonstrate his good faith and the perfect validity of the canceled meeting before the Orléans Court of Appeal.
