Vinci: acquisition in the United States

(Boursier.com) — Vinci Highways, a subsidiary of Vinci Concessions, has signed an agreement to acquire NWP HoldCo LLC, the company holding the concession contract for Northwest Parkway, a 14 km toll section of the Denver ring road in Colorado. This agreement concerns the acquisition of 100% of the concession company, currently owned by funds managed by DIF Capital Partners and funds managed by Northleaf Capital as well as HICL Infrastructure PLC. The financial closing is scheduled for the second quarter of 2024, following approval by the grantor – the public authority Northwest Parkway Public Highway Authority, made up of the municipalities of Broomfield and Lafayette – and the competent authorities. The amount of the agreement was not disclosed.

Located northwest of Denver, in one of the most dynamic metropolitan areas in the United States, the Northwest Parkway section has been in service since 2003 and notably helps serve the Denver International Airport. Northwest Parkway generated 7.2 million transactions in 2023, up 6% compared to 2022 and 17% compared to 2021. The toll system is entirely electronic and the concession contract allows the implementation of a variable toll system. With an expiry date of 2106, the concession currently has the longest remaining term (83 years) in the highway concession sector in the United States. The concessionaire is remunerated by collecting tolls.

This acquisition is Vinci Highways’ first traffic risk concession in the United States. Vinci Highways also operates, as part of a public-private partnership (availability payment), the Ohio River Bridges project, linking the states of Indiana and Kentucky, as well as free-flow toll service contracts ( free flow) – through its subsidiary ViaPlus – for government agencies in Texas and California.
