Vinci: issue of new shares reserved for employees

(Boursier.com) — The combined general meeting of shareholders of April 8, 2021 of the group vinciby its 19th resolution, delegated to the Board of Directors its authority for the purpose of carrying out capital increases reserved for employees for a period of 26 months expiring on June 7, 2023.
In this context, it defined the method for determining the issue price of the new shares.

At its meeting of February 3, 2022, the VINCI Board of Directors set the terms of a capital increase reserved for Group employees in France, this operation falling within the delegation of authority received from the general meeting of shareholders.

The maximum number of shares that can be issued and the total amount of the issue will depend on the level of employee subscriptions to the units to be issued by the FCPE.
“Castor Relais 2022/2” which will be recorded at the end of the subscription period, which will run from May 1 to August 31, 2022.

The issue price of the new shares is equal to 95% of the average of the opening prices of VINCI shares listed on the regulated market of Euronext Paris SA during the 20 trading sessions preceding 3 February 2022, i.e. 91, 92 euros per new share to be issued.

The maximum number of new shares to be issued may not exceed the limit set by the general meeting of shareholders of April 8, 2021 in its 19th resolution and, if this limit is insufficient, by that set by the general meeting of shareholders of April 12, April 2022 in its 16th resolution. The total of new shares that can be issued on the basis of the 19th resolution of the general meeting of April 8, 2021 and on the basis of the 20th resolution of the same general meeting in favor of the shareholding of employees residing in certain foreign countries cannot exceed 1.5% of the number of shares making up the share capital at the time the Board takes its decision.
