(Boursier.com) – The combined general meeting of shareholders of Vinci of April 8, 2021, by its 19th resolution, delegated to the Board of Directors its power to carry out capital increases reserved for employees for a period of 26 months expiring on June 7, 2023. In this context, it has defined the method of determining the issue price of the new shares. At its meeting of October 20, 2021, the Board of Directors set the terms of a capital increase reserved for employees in France, this operation falling within the delegation of authority received from the general meeting. shareholders. The maximum number of shares that can be issued and the total amount of the issue will depend on the level of employee subscriptions to the units to be issued by the FCPE ‘Castor Relais 2022/1’ which will be noted at the end of the subscription period, which will take place from January 1 to April 30, 2022.

The issue price of the new shares is equal to 95% of the average of the first Vinci share prices listed on the regulated market of Euronext Paris SA during the 20 trading sessions preceding October 20, 2021, i.e. 85, 59 euros per new share to be issued.

The maximum number of new shares to be issued may not exceed the limit set by the general meeting of shareholders of April 8, 2021 in its 19th resolution. The total number of new shares that may be issued on its basis and on the basis of the 20th resolution of the general meeting of April 8, 2021 in favor of the shareholding of employees residing in certain foreign countries may not exceed 1.5% of the number. shares making up the share capital at the time the Board takes its decision.

The ‘Castor Relais 2022/1’ FCPE will subscribe to the new Vinci shares to be issued at the end of May 2022. The admission of these new shares to trading on the regulated market of Euronext Paris will be requested immediately after their creation. These ordinary shares will be unrestricted and will carry dividend rights from January 1, 2022.
