VISIATIV: VISIATIV AND XEFI ANNOUNCE THEIR PARTNERSHIP AGREEMENT FOR THE TRANSFER OF IT INFRASTRUCTURE ACTIVITIES – 2023-03-14 at 18:00

Lyon, March 14, 2023 – 6 p.m.

Visiativ and XEFI announce that they have entered into exclusive negotiations for the sale of Visiativ Managed Services, an IT infrastructure and hosting provider. This operation marks the strengthening of the partnership between XEFI and Visiativ, two key players in the Auvergne-Rhône-Alpes region specializing in supporting VSEs/SMEs.

With 26 employees and its own datacenter located in the Lyon metropolis in the Auvergne-Rhône-Alpes region, Visiativ Managed Services supports 140 VSE/SME customers in terms of IT infrastructure and technological platforms adapted to their needs.

For its part, with its 1,800 employees spread over more than 160 agencies in France, Switzerland and Belgium, the XEFI group is the French leader among VSEs/SMEs in the field of IT and associated services (maintenance, cloud, outsourcing, security). The group also has a NEXEREN data center subsidiary comprising 5 highly certified data centers enabling it to fully control the chain of Cloud services.

Visiativ has been supporting SMEs/ETIs for more than 35 years in their digital transformation and innovation. This partnership will enable Visiativ to refocus on its core consulting and software publishing business, while relying on a partner of choice for the IT infrastructure business.

This operation thus accelerates the respective development of the offers of the XEFI and Visiativ groups, in order to continue supporting their common target: VSEs/SMEs and ETIs.

The operation would be carried out by selling 100% of the capital of Visiativ Managed Services to the XEFI group.

The signature of the definitive agreement could take place in April, the operation remaining subject to consultation with the representative bodies of the personnel of the two groups.

FINANCIAL CALENDAR

These dates are given as an indication, they are likely to be modified if necessary. The publications will take place after the closing of the Euronext Paris market.
