VISIOMED GROUP: Visiomed Group enters into exclusive discussions with a view to bringing together its subsidiary BewellConnect and Whealthy Care Solutions (WCS) – 11/15/2022 at 6:30 p.m.

VISIOMED GROUP (FR0013481835 – ALVMG), a group dedicated to innovative health technologies and services, and the shareholders of Whealthy Care Solutions (WCS) today signed an agreement validating their entry into exclusive negotiations for a merger between WCS and BewellConnect and drawing the main terms of this operation.

Whealthy Care Solutions is a key player in the marketing and deployment of connected health services based on an ecosystem of innovative technologies. The economic model of WCS is based on a “health and well-being concierge” service activity which is deployed around:

1. Commercialization of innovative technological solutions;

2. Animation of this service in order to generate recurring revenue.

BewellConnect, a subsidiary of Visiomed Group and a pioneer in connected health and teleconsultation solutions, has been a reference technological partner of WCS for more than a year, with significant successes such as the development of a health cabin offer for the Italian retail group Iper

This merger would mark the culmination of the strategic review initiated in the spring of 2022 by the new management of Visiomed Group for its subsidiary, particularly around the study of commercial or capital partnership projects. It would take the form of a joint venture which would be provided with all the resources necessary for its future development:

• The contribution by WCS shareholders of the securities of the companies WCS SRL (Italy) and WCS LLC (USA), including in particular contracts, dynamic prospects and teams having demonstrated significant commercial know-how;

• The contribution by Visiomed Group of BewellConnect titles, including in particular an ecosystem of proven products as well as technological know-how supported by the company’s teams;

• A contribution in financing from the 2 parties, allowing the implementation of the development plan of the new entity from 2023.

Following these operations, Visiomed Group would hold 40% of the new entity, WCS shareholders would jointly hold 60%. Rodolphe Bioche, President and founder of Whealthy Care Solutions, will take over the General Management of this new entity.

The completion of this transaction remains subject to the satisfactory fulfillment of standard preconditions (agreement on all legal documentation, satisfactory conclusions of the audits by the parties, etc.) and could take place before December 31, 2022.

As a reminder, BewellConnect, which has 12 employees, generated revenue of €2.4 million and normalized EBITDA of -€0.8 million in the first half of 2022.
