(Boursier.com) — The Board of Directors of the company VOYAGEURS DU MONDE, a public limited company with capital of 4,319,331 euros, whose head office is located at 55 rue Sainte Anne, 75002 Paris and whose registration number is 315 459 016 RCS Paris, whose shares are admitted to trading on the Euronext Growth market under the ISIN code FR0004045847, during its meeting of April 23, 2024, decided to submit to the General Meeting, as part of the general meeting annual meeting of the shareholders of VOYAGEURS DU MONDE which was convened for June 3, 2024, a resolution relating to a reduction in the capital of the company not motivated by losses, of a maximum nominal amount of 866,666 euros by way of a public offer of repurchase of shares (“OPRA”) with a view to their cancellation (the “Offer”) relating to a maximum number of 866,666 shares of the Company at a price of 150 euros per share, in application of articles L. 225-204 and L. 225-207 of the Commercial Code. The said meeting of June 3, 2024 approved this resolution.

After having approved the principle in its decision of April 23, 2024, which gave rise to the opening of a pre-offer period (AMF Notice 224C0574 dated April 25, 2024), the Board of Directors of VOYAGEURS DU MONDE decided, on June 6, 2024, to file this draft Offer with the AMF.

This proposed Offer is governed by the provisions of Title III of Book II and, more particularly, by the provisions of Articles 233-1, 5o et seq. of the AMF general regulations. It is subject to prior satisfaction of the conditions referred to in paragraph 2.1 below.

The proposed Offer, at a price of 150 euros per VOYAGEURS DU MONDE share, concerns a maximum of 866,666 shares, representing, at the time of filing of the Offer, 20.06% of the capital.

In application of the provisions of article 261-1 I. 3o of the general regulations of the Financial Markets Authority, the Board of Directors of the Company appointed, in its meeting of April 8, 2024, the firm Crowe HAF, represented by Mr. Oliver Grivillers, as independent expert responsible for drawing up a report on the financial conditions of the draft Offer, presented in the form of a fairness certificate. This appointment was made subject to the non-opposition of the Financial Markets Authority, in accordance with the provisions of article 261-1-1, I of the AMF General Regulations.
