CAPITAL REDUCTION NOT DRIVEN BY LOSSES
SUSPENSION OF THE FACULTY TO EXERCISE OR CONVERSE SECURITIES GIVING ACCESS TO CAPITAL FROM OCTOBER 20, 2022 UNTIL NOVEMBER 15, 2022
The Company announces that the Board of Directors, making use of the authorization of the Combined General Meeting of Shareholders of the Company of June 30, 2022 under the terms of its nineteenth resolution, has adopted its decision to proceed with a reduction of capital not motivated by losses by reducing the nominal value of the shares by a maximum nominal amount of €3,487,666.47, reducing it from €0.02 to €0.005 (hereinafter the “Transaction”) ).
In order to enable this Transaction to be carried out and in accordance with Articles L.225-149-1 and R.225-133 of the French Commercial Code, the Board of Directors of the Company has today informed the holders of securities giving access to the capital that their exercise or conversion rights will be suspended from next October 20 (inclusive) until November 15, 2022 (inclusive).
From the opening of the suspension of the rights of holders of securities giving access to the capital, i.e. next October 20, the Board of Directors of the Company will definitively set the terms of the Operation and in particular the amount of the capital reduction based on the number of Company shares in circulation on that date.
The shareholders of the Company will be informed by means of a press release.
