(Boursier.com) — Alan Allman Associates acquires Keyboss Group, a French expert in cash management consulting services. This new operation takes the form of the acquisition by Alan Allman Associates, via its subsidiary Alan Allman Associates France, of 100% of the shares of Keyboss Group. Through this acquisition, the ecosystem wishes to strengthen its French activities around cash management, process optimization and project management.
Keyboss Group’s annual turnover in 2022 amounted to 2.052 million euros (closing on 03/31/2022). It projects a landing at 2.78 ME in turnover for the 2022/2023 financial year (uncertified, unaudited and unapproved).
This acquisition is settled mainly in cash by Alan Allman Associates France.
The residual part, representing 864 kE, is settled by Alan Allman Associates in the form of 85,038 shares, on the basis of the 17th resolution of the Combined General Meeting of June 22, 2022 (so-called private placement transaction with a restricted circle of investors, i.e. reserved for certain selling shareholders of Keyboss Group).
