(BFM Bourse) – Bolloré announces that it has entered into exclusive discussions with the world leader in container transport, the Swiss group MSC, with a view to the sale of Bolloré Africa Logistics, which today brings together all of its activities of transport and logistics in Africa. MSC presented an offer based on an enterprise value of 5.7 billion euros.
The Bolloré group announced on Monday that it had received an offer from the MSC Group to acquire the entire capital of Bolloré Africa Logistics, bringing together all the transport and logistics activities of the Bolloré Group in Africa, on the basis of a value company (net of minority interests) of 5.7 billion euros.
Bolloré has granted exclusivity to the MSC Group until March 31, 2022 so that the latter can, following an additional audit phase and contractual negotiations, give it, if necessary, a promise to purchase. The decision to exercise this promise and the signing of the related agreements could only be made after the usual procedures, in particular information and consultation of the competent employee representative bodies, and certain internal reorganization operations within the Group. Completion of the sale would also require obtaining regulatory authorizations and the relevant competition authorities, as well as the approval of some of Bolloré Africa Logistics’ counterparties.
The Bolloré Group will make known, when the time comes, the results of these exclusive negotiations.
The group, Vivendi’s main shareholder, specifies that it will retain, “in any case, a significant presence in Africa”, in particular through Canal +, the leading pay-TV operator in French-speaking Africa and a major shareholder of MultiChoice, the leader in pay television in English-speaking Africa. “It will also continue its developments there in many sectors such as communication, entertainment, telecoms, publishing, etc.”
