(CercleFinance.com) – Bonduelle SCA announces a project to simplify its control structure, by concentrating the stable core of control within a new company, Bonduelle Family Holding, by contributing shares to it. Pierre and Benoît Bonduelle SAS.
As a reminder, Pierre and Benoît Bonduelle SAS, the general shareholder who controls the agri-food group, currently includes members of the sixth, seventh and eighth generations of the Bonduelle family.
It is also planned to merge Bonduelle SCA and La Plaine SA (subsidiary of Pierre and Benoît Bonduelle SAS) by absorption of the latter by the former, in order to eliminate a level of interposition and provide liquidity to the shareholders of La Plaine SA.
At the end of this operation, which would be submitted to the AGM of December 7, the former shareholders of La Plaine SA would hold shares of Bonduelle SCA received in exchange, the Bonduelle SCA shares previously held by La Plaine SA being canceled.
