“) (ISIN FR001400JAP8 – ALALO) announced in its press release of November 2, 2023 the granting by RETO of a financing line for the group’s activities in the amount of 2,300,000 euros.
The Company recalls that a bond issue with a maximum nominal amount of 20,000,000 euros in the form of bonds convertible or exchangeable into new and/or existing shares (the “
OCEANE 2023
“) was concluded with RETO in March 2023

However, the evolution of the price and transaction values of the ACHETER-LOUER.FR share does not currently allow the Company to fulfill the share trading volume condition provided for in the 2023 OCEANE issuance contract necessary for carry out a drawing or obtain the full amount of the tranches during the drawings, the Company and RETO have agreed to find alternative financing to the OCÉANE 2023 to finance the group’s activities.
The Company announces, after renegotiations with RETO, the signing of a loan contract under the terms of which, on December 11, 2023, RETO finally granted a loan in the amount of 1,500,000 euros (the “
Ready
“), the main characteristics of which are as follows:
Loan Amount: 1,500,000 euros
Loan payment terms: ten installments of 150,000 euros paid monthly to the Company from 1

January 2024 until 1

September 2024 (last tranche), it being specified that the payment of the first tranche was made upon signature of the Loan contract.Guarantee: From the drawing of the second tranche, the Company will grant a guarantee of the shares of its subsidiaries.
Maturity: 12 months from the drawing date of each tranche
Interest: 15% of each tranche paid and payable on the date of the Reimbursement date by debt offsetting of each tranche or on the maturity date of the tranche concerned.
Repayment of the Loan: RETO may, at its sole discretion, choose to be reimbursed according to the following terms:
• Reimbursement of each tranche paid under the Loan by way of offsetting the debt with the issue price of a tranche of OCÉANE 2023 (“
Reimbursement by debt offsetting
“); Or
• Cash reimbursement by bank transfer.
Loan Commission: 45,000 euros payable in ten installments of 4,500 euros by deduction of the amount of each tranche.
